The Eighty-ninth Fedhealth Annual General Meeting took place on Thursday, 26 June 2025 at 13h00 as a virtual event.

We’re pleased to report that this AGM once again ran smoothly, and we thank all our members who attended the meeting online.

Congratulations to Dr Margaret Mojapelo-Mokotedi, Jacobus Cloete, Gerrit Eloff and Eric Schoemaker with their appointment as Trustees.

The selection of the Chairperson of the Board of Trustees will only take place at the next Board of Trustees meeting that is scheduled for the end of July 2025.

THE EIGHTY-NINTH ANNUAL GENERAL MEETING OF THE MEMBERS WILL BE HELD ONLINE ON THURSDAY, 26 JUNE 2025 AT 13:00.

As mentioned in the 2024 AGM communication, from this year the Scheme will host its annual general meetings as online events only, to enable as many members as possible to participate in these proceedings.

While the Scheme will do its utmost to ensure that the online meeting is not disrupted due to loadshedding, the meeting may still be impacted by factors beyond Fedhealth’s control.

AGENDA 

  1. Confirmation of the Minutes of the Eighty-ninth Annual General Meeting held on 27 June 2024.
  2. Adoption of the Report of the Trustees for the year ended 31 December 2024.
  3. Presentation of the Audited Annual Financial Statements for the year ended 31 December 2024.
  4. Appointment of the External Auditor for the 2025 audit. It has been proposed that Deloitte and Touche be appointed as the Scheme’s external auditor for the 2025 financial year.
  5. Approval of Trustees’ Remuneration for 2025/2026. It is proposed that there will be an inflationary increase in Trustee remuneration for 2026.
  6. Election of Members to the Board of Trustees in terms of Rule 17. There are four vacancies on the Board and nominations and CVs can be viewed on the AGM Zone of the Scheme’s website seven days before the meeting. In light of a pending amalgamation process, the Scheme has applied for an exemption from conducting Trustee elections at the 2025 AGM. Should the Council for Medical Schemes (CMS) grant the exemption, the Scheme will promptly notify members that no elections will be held, upon receipt of the CMS’s response. 
  7. To transact such other business as may be transacted at the Annual General Meeting of which due notice has been given.

NOTE: Notices of motions to be placed before the meeting must reach the Principal Officer at the Fedhealth Office, Block F, 35 Conrad Street, Florida North, Roodepoort, 1710, by no later than 7 days prior to the date of this meeting.

APPOINTMENT OF A PROXY

Any member who is entitled to attend and vote at a General Meeting of the Scheme shall have the right to appoint a proxy, who must be a member of the Scheme, to attend and vote in his/her stead. You can download the Proxy Form below, or you will receive it in your inbox or the post shortly.

Proxy Form 2025

Instructions:

  1. A Principal Member with contributions not in arrears and who is entitled to attend and vote at the Annual General Meeting may appoint another Principal Member as a proxy to participate and vote in his/her stead at the Annual General Meeting. In terms of rule 26.1 only another Principal Member, whose contributions are not in arrears, may act as a Principal Member’s proxy.
  2. To be valid, this completed proxy form must reach the Office of the Administrators for the attention of Tilana Endersby no later than 48 hours before the time appointed for the holding of the Annual General Meeting. As the Annual General Meeting is to be held at 13h00 on Thursday 26 June 2025, proxy forms must be received no later than 13h00 on Tuesday 24 June 2025. Proxy forms received after the deadline will be invalid. Proxy forms must be delivered either by hand or sent by email to Fedhealth Office, Block F, 35 Conrad Street, Florida North, Roodepoort or to proxy@fedhealth.co.za

  3. The completion and submission of this proxy form will not preclude the relevant member from participating in the Annual General Meeting and voting personally instead of any proxy appointed in terms hereof. Should the member participate and vote in the meeting, the proxy that has been appointed will not be able to vote on the member’s behalf and the proxy shall be deemed to have been revoked.

  4. Any alteration made on the proxy form must be initialled.
  5. In terms of the Scheme Rules both the proxy holder and the proxy giver must sign the proxy form in order for it to be valid.

Please return the completed nomination form, with a CV and ID copy of the Nominee to tilana@fedhealth.co.za or to Tilana Endersby, Fedhealth Office, Block F, 35 Conrad Street, Florida North, Roodepoort by no later than 5 days before the Annual General Meeting.

ONLINE AGM PROCEEDINGS

How will this process work for members WITH email addresses?

  • You will receive an email and notification from fedhealth@lumiglobal.com shortly, entitled: Invitation to Fedhealth Medical Scheme’s AGM. Please check your Spam or Promotions folder.
  • On your invite, it will ask “Would you like to attend the Fedhealth AGM?” with a YES.
  • If you click on YES, a screen will open that will request you to enter your Fedhealth membership number.
  • Once you’ve clicked on the ‘Login’ button, you will arrive at a pre-populated registration form. You will be verified by your membership number.
  • Click on ‘Next’ to go to the summary page. If all your details are correct and you’ve agreed to the terms and conditions, you can click on ‘Submit’. You will then see a screen saying ‘Thank you for registering’ and that you’ll receive your Confirmation of Registration email.
  • If the verification is successful, you will get a Confirmation of Registration email with a unique username and password to join and participate in the meeting and a link to a User Guide so you can see how the platform works before the meeting. The calendar marker is available for major email clients, such as Outlook and Gmail.
  • The day before the meeting, you will receive a reminder via email with the link.
  • On the day of the meeting, you will have to click on the link. The screen will let you choose between ‘I am a principal member’ and ‘I am a guest’. If you click on ‘I am a guest’ you will have access to the meeting, but won’t be able to vote.
  • If you click on ‘I am a principal member’, you will get a screen where you need to fill in your username and password. This will be verified against our database again and registered members will be allowed access.
  • On the access screen, you will be able to see your details and the number of votes (1 or more if you have proxies).
  • You will then follow the AGM proceedings. When it comes to voting, a voting screen will appear on your screen and you can just follow the instructions. The results of the voting will appear on your screen after counting.

Questions: Only questions submitted to the Scheme seven days before 26 June 2025 will be addressed at the AGM. There will be no live questions at the AGM. You can email your questions to member@fedhealth.co.za with the subject line ‘Questions for the AGM’.

  • Upon receipt, you will be manually verified and registered and your link, username and password will be sent to you via SMS.
  • The day before the meeting, you will receive a reminder via SMS with the link again.
  • On the day of the meeting, you will have to click on the link. The screen will let you choose between ‘I am a principal member’ or ‘I am a guest’. If you click on ‘I am a guest’ you will have access to the meeting, but won’t be able to vote.
